GAZOO END USER LICENSE AGREEMENT & TERMS OF SERVICE

1. ACCEPTANCE OF TERMS By subscribing to, accessing, or using the Gazoo Customer Relationship Management platform ("Service"), you ("Licensee") agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not use the Service.


2. LICENSE GRANT Subject to your compliance with these terms and payment of all applicable fees, Gazoo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations. This license is for the use of the software as provided and does not convey ownership of the underlying code, structure, or intellectual property.


3. FAIR USE POLICY: FEATURE REQUESTS & MODIFICATIONS We value community feedback and often improve the Service based on user suggestions; however, your subscription is for the Service "as is" and does not include custom development services. To ensure the sustainability of our support team, the following Fair Use policies apply:

  • No Right to Customization: The Licensee acknowledges that the Subscription fee covers access to existing functionality only. It does not grant the Licensee the right to demand specific features, functional modifications, or custom engineering.
  • Feature Request Protocol: While Licensees may submit feature requests via the designated support channels, Gazoo is under no obligation to implement, acknowledge, or provide a timeline for such requests. Roadmap decisions are made solely at the discretion of Gazoo.
  • Abuse of Support: Repeated demands for functional modifications, aggressive pursuit of "out-of-scope" development, or submission of excessive tickets regarding feature deficits (rather than bugs) will be deemed a violation of this Fair Use Policy. Gazoo reserves the right to limit support responses or, in extreme cases, terminate the account of any Licensee found to be abusing support channels for development demands.


4. TERM & AUTOMATIC ANNUAL RENEWAL

  • Annual Commitment, Monthly Billing: Licensee acknowledges that the subscription constitutes a binding agreement for a term of twelve (12) months ("Initial Term"), billed in monthly installments.
  • Automatic Annual Renewal: AT THE EXPIRATION OF THE INITIAL TERM, THIS AGREEMENT WILL AUTOMATICALLY RENEW FOR A SUBSEQUENT TWELVE (12) MONTH PERIOD ("RENEWAL TERM") unless the Licensee provides written notice of non-renewal at least thirty (30) days prior to the end of the current term.
  • Fee Adjustments at Renewal: Gazoo reserves the right to increase the monthly subscription fee effective at the start of any Renewal Term. Gazoo will provide notice of any such fee increase at least thirty (30) days prior to the renewal date. If the Licensee does not cancel the subscription in accordance with the non-renewal notice period, the Licensee is deemed to have accepted the new pricing for the duration of the Renewal Term.
  • Continuous Billing: The Licensee authorizes Gazoo to continue charging the monthly payment method on file for the duration of the Renewal Term.


5. USAGE FEES & PASS-THROUGH BILLING 

  • Certain functions within Gazoo rely on third-party telephony and email providers (e.g., SMS, MMS, Phone Calls, Email sending, Content AI, and Workflow AI).
  • Pass-Through Costs: You acknowledge that costs associated with these services are usage-based. Gazoo agrees to pass these costs through to the Licensee at cost, without additional markup or surcharge.
  • Wallet System: Usage fees will be deducted automatically from the payment method on file or a pre-paid "Wallet" balance within the application.
  • Price Fluctuations: Because these fees are dictated by upstream carriers (e.g., Twilio, Mailgun) and regulatory bodies, the specific rates per SMS or Email are subject to change without prior notice from Gazoo.


6. INTELLECTUAL PROPERTY & UPSTREAM PROVIDERS

  • Reseller Disclaimer: Licensee acknowledges that Gazoo is a white-label distribution of a third-party platform (GoHighLevel). Intellectual property rights regarding the core software architecture belong to the upstream provider.
  • Ownership: Gazoo retains all rights to its specific configurations, snapshots, templates, training materials, and proprietary workflows provided within your account. You may not duplicate, resell, or distribute these assets to third parties.


7. RESTRICTIONS ON USE You agree not to:

  • Use the Service to send unsolicited spam, unlawful messages, or prohibited content (e.g., SHAFT - Sex, Hate, Alcohol, Firearms, Tobacco) in violation of A2P 10DLC or CAN-SPAM regulations.
  • Reverse engineer, decompile, or attempt to discover the source code of the Service.
  • Resell, sublicense, or share your login credentials with unauthorized third parties.


8. TERMINATION

  • By Licensee: You may cancel your subscription at any time via the billing portal. Access will continue until the end of the current billing cycle.
  • By Gazoo: We reserve the right to suspend or terminate your access immediately, without notice, for violation of Section 3 (Fair Use) or Section 6 (Restrictions), or for failure to pay subscription or usage fees.


9. DISCLAIMER OF WARRANTIES THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GAZOO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS.


10. LIMITATION OF LIABILITY IN NO EVENT SHALL GAZOO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
